ADDENDUM

All Lots

The purchaser of each lot is deemed to purchase with notice and full knowledge of the important notice to bidders, the Common Auction Conditions, where applicable, the special conditions of sale and this addendum.

The purchaser of each lot is deemed to have inspected the property and have verified the accuracy of all information given in the particulars including the extent of the premises to be sold and the floor areas. Additionally, the purchaser is deemed to have read the legal documentation.

The boundary plans in the auction catalogue are for identification only. The correct title plan showing the boundaries of the properties are available for inspection and the purchaser will be deemed to have purchased with full knowledge thereof.

Please note that vendors may require a supplementary amount to be paid by the purchaser to the vendor over and above the purchase price. Please check the special conditions of sale to ascertain whether this applies to the property for which you are bidding.

The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 came into force on the 26th June 2017.

Under the Regulations, Acuitus is legally required to immediately undertake customer due diligence checks on the buyer and related parties.

Acuitus will need to receive identification documents that satisfy the Regulations for the bidder, the buyer (if different from the bidder), the beneficial owners with more than 25% of the voting rights or capital and proof of authority if the bidder is acting as an agent.

Acuitus will also need to receive satisfactory identification on the source of the deposit money provided by the bidder/buyer.

If you are the successful bidder, Acuitus requires a separate payment of £1,250+VAT as a buyer's administration charge payable to Acuitus Limited upon exchange of contracts. A VAT receipt will be provided upon payment.

The Common Auction Conditions have been updated as at March 2021.

Lot 17

Furnival House, 48 Furnival Gate, Sheffield, South Yorkshire, S1 4QP

As stated under Tenure on page 35 of the auction catalogue, the Property is held under a lease from the Lord Mayor Aldermen and Citizens of the City of Sheffield for a term of 99 years from 1st August 1965 until 2064 at a rent of £2,440 p.a. To clarify, in 2012 Sheffield Council granted an overriding lease to British Bank Nominees Limited and WGTC Nominees Limited (in their capacity as nominees for and on behalf of National Westminster Bank Plc as trustee, but not otherwise, of the Scottish Widows Investment Partnership Property Trust). British Bank Nominees Limited and WGTC Nominees Limited is therefore the immediate landlord.
As to the Tenancy and Accommodation schedule, please note that Shelter''s full name is Shelter The National Campaign for Homeless People Limited. The leases to Shelter the National Campaign for Homeless People Limited for the 5th Floor, 6th Floor Suite A , 6th Floor Suites B & C, 7th Floor and Unit 14 have completed. The Agreement for Lease for the 3rd floor has exchanged and will complete subject to the landlord’s obligation to Shelter the National Campaign for Homeless People Limited to undertake certain works to provide a fresh air system, which the Seller will undertake prior to completion of the sale. There is also a separate landlord obligation (which is not linked to completion of the lease of the 3rd floor) to Shelter the National Campaign for Homeless People Limited to undertake works to the goods lift at the Property. The Buyer will be required to enter into a deed of covenant with Shelter the National Campaign for Homeless People Limited to undertake those works following completion of the sale. Details for the works are included in the legal pack and the buyer is deemed to purchase with full knowledge thereof.

The Tenant of Unit 13 was put into Creditors Voluntary Liquidation on 1 May 2015. A related company, OPWG Limited, has shown interest in taking an assignment of the Lease but, to date, the liquidator has not responded to the Seller''s solicitors'' requests that they make a formal application for consent to the proposed assignment.

As to Note 3 of the tenancy and accommodation schedule, the Lease of Units 16/17 to Tai Sun Oriental C & M Restaurant Supermarket Limited completed on 3 July 2015 for a term of 15 years from 8 November 2009 at a rent of £19,000 per annum, subject to upward only market review on 8 November 2019 and a tenant only break right, on six months prior notice, on 8 November 2018.

The area referred to as the "Petrol Station" in the particulars is no longer used as a petrol station.

Please note that the total gross rent is £434,580 p.a.x (subject to Note 5 and 8 of the tenancy and accommodation schedule).
As to the tenancy and accommodation schedule, please note that the lease for Suite B Fourth Floor to Royal Voluntary Service completed on 8 July 2015. The lease is for a term expiring on 31 March 2020 at an annual rent of £15,180 (subject to review on 8 July 2018). The Tenant benefits from a break, on six months'' notice, on 8 July 2018. The completed lease and associated documentation are available in the legal pack.
In relation to notes (2) and (7) of the tenancy and accommodation schedule whilst terms have been agreed subject to contract with Night Time Adventures Ltd the leases will not be completed prior to auction. The landlord will endeavour to complete the leases prior to completion but will be under no obligation to do so.
