The purchaser of each lot is deemed to purchase with notice and full knowledge of the important notice to bidders, the Common Auction Conditions, where applicable, the special conditions of sale and this addendum.

The purchaser of each lot is deemed to have inspected the property and have verified the accuracy of all information given in the particulars including the extent of the premises to be sold and the floor areas. Additionally, the purchaser is deemed to have read the legal documentation.

The boundary plans in the auction catalogue are for identification only. The correct title plan showing the boundaries of the properties are available for inspection and the purchaser will be deemed to have purchased with full knowledge thereof.

Please note that vendors may require a supplementary amount to be paid by the purchaser to the vendor over and above the purchase price. Please check the special conditions of sale to ascertain whether this applies to the property for which you are bidding.

The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 came into force on the 26th June 2017.

Under the Regulations, Acuitus is legally required to immediately undertake customer due diligence checks on the buyer and related parties.

Acuitus will need to receive identification documents that satisfy the Regulations for the bidder, the buyer (if different from the bidder), the beneficial owners with more than 25% of the voting rights or capital and proof of authority if the bidder is acting as an agent.

Acuitus will also need to receive satisfactory identification on the source of the deposit money provided by the bidder/buyer.

If you are the successful bidder, Acuitus requires a separate payment of £1,250+VAT as a buyer's administration charge payable to Acuitus Limited upon exchange of contracts. A VAT receipt will be provided upon payment.

The Common Auction Conditions have been updated as at March 2021.

As to the Tenure paragraph in the catalogue, please note that in addition to the freehold interest, the property also comprises a piece of land identified as ‘land lying on the North side of Pridmore Road, Foleshill (Title Number WM727533) let for a term of 99 years from 16th October 1946 at a rent of £6.
The boundary plan on page 85 of the auction catalogue does not correctly identify the property being offered for sale. The title plans showing the correct extent of the property being offered for sale is available for inspection within the legal pack. The buyer will be deemed to have inspected the property and to have purchased with full knowledge thereof.
In reference to title documents WM807331 in the legal pack (basement area of the Saturn Centre), please note that the demise is subject to a 30 year lease to Ventina (ExtraSpace) Limited. Ventina (ExtraSpace) Limited is not in occupation of this area and according to Companies House dissolved on 14/07/2009. A copy of the lease is available in the legal pack.
As to the description paragraph on page 85 of the catalogue, please note that the service agreement in place is between the tenant and Romulus (General Partner) Limited and Romulus Nominee Limited and not as stated in the catalogue.
As to Note 2 of the tenancy schedule, please note that the tenant has been paying a rent of £140,000 p.a.x since March 2011 not January 2010. However the Receivers had given the tenant a 10% discount until the beginning of this year as they had been paying the full years rent up front.
Please note that the areas stated in the catalogue relating to the above property have been taken from the Valuation Office Website. An independent measured survey has been completed and is available to review in the legal pack however purchasers must rely on their own inspection and measured survey. Neither the Receivers, the Auctioneers nor the Seller offer any warranties or guarantees with regard to the accuracy of the measured survey.
Please be advised that the special conditions have been revised in relation to the deposit and are available for inspection within the legal pack.
For the avoidance of doubt, the lease dated 4th August 2000 states that the tenant is Acordis Speciality Fibres Limited. Acordis Speciality Fibres Limited have subsequently changed their name to Convatec Speciality Fibres Limited. The unsigned lease from 2009 states that the tenant name is Speciality Fibres and Materials Ltd. Speciality Fibres and Materials Ltd are the current tenant and have been in occupation since before the Receivers were appointed and have been paying the rent to the Receivers.
