ADDENDUM

Auction Sale: 10 July 2025

All Lots

The purchaser of each lot is deemed to purchase with notice and full knowledge of the important notice to bidders, the Common Auction Conditions, where applicable, the special conditions of sale and this addendum.

The purchaser of each lot is deemed to have inspected the property and have verified the accuracy of all information given in the particulars including the extent of the premises to be sold and the floor areas. Additionally, the purchaser is deemed to have read the legal documentation.

The boundary plans in the auction catalogue are for identification only. The correct title plan showing the boundaries of the properties are available for inspection and the purchaser will be deemed to have purchased with full knowledge thereof.

Please note that vendors may require a supplementary amount to be paid by the purchaser to the vendor over and above the purchase price. Please check the special conditions of sale to ascertain whether this applies to the property for which you are bidding.

The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 came into force on the 26th June 2017.

Under the Regulations, Acuitus is legally required to immediately undertake customer due diligence checks on the buyer and related parties.

Acuitus will need to receive identification documents that satisfy the Regulations for the bidder, the buyer (if different from the bidder), the beneficial owners with more than 25% of the voting rights or capital and proof of authority if the bidder is acting as an agent.

Acuitus will also need to receive satisfactory identification on the source of the deposit money provided by the bidder/buyer.

If you are the successful bidder, Acuitus requires a separate payment of £1,500+VAT as a buyer's administration charge payable to Acuitus Limited upon exchange of contracts. A VAT receipt will be provided upon payment.

The Common Auction Conditions have been updated as at January 2025.

Please note that completion of this sale will take place 6 weeks after the Contract Date, as specified in the Special Conditions of Sale.

Please delete all references as to the part let to M. Absalan (ground rear & first floors) as being used a taxi office. Whilst the part demised to M Absalan is as described in the auction particulars, the first floor is currently used as a beautician, and the rear ground floor area is not currently used.

130-162 Crockhamwell Road, Woodley, Reading, Berkshire, RG5 3JH

Please note that the correct address of the part let to Greggs Plc is 136-138 & 140-142 Crockhamwell Road. The demise to Greggs covers both the ground & upper floors, and not just the ground floor as stated in the auction particulars. The upper floors are used as a maisonette.
In respect of the leases at 152 Crockhamwell Road & 156-160 Crockhamwell Rd (both trading as HK Superstore), please note the tenant on both should read ‘’HK Superstore Limited’’ and not ‘’HK Superstores Limited’’ as stated in the auction particulars, both let with personal guarantors.
For the avoidance of doubt, please note that the term commencement date for 152 Crockhamwell Road (t/a HK Superstore) should read 12th July 2024 (as per the auction particulars) & not the term commencement date stated in the Special Conditions of Sale.

As to the lease of 99 Front Street to The Church of England Children’s Society, the tenant had served a notice to exercise their option to determine the lease on 19th October 2022, however the tenant remained in occupation of the property and are paying a rent of £15,000 per annum exclusive. A new lease to this tenant for a term of 5 years with a tenant option to determine the lease on the 3rd anniversary and at a rent reserved of £15,000 per annum exclusive has been agreed but not yet documented. The start of the lease will not be backdated, and it is anticipated that the lease will be completed before the sale of the property has completed. A copy of the notice to determine and the draft lease has been uploaded to the legal pack.

The orange outline on the street trading plan in the Auction sales particulars that identifies the full extent of the property has now been amended. The full extent of the property can also be seen on Title plan, no EGL305517, which is contained in the legal pack.

For the avoidance of doubt the ground floor of 29-31 The Parade, Oadby is let to 3d Coffee (Oadby) Limited (crn 07098567) and trades as Costa, not Costa Limited as stated in the Tenancy and Accommodation schedule in the Auction sales particulars. For the year ending 31st March 2024, 3D Coffee (Oadby) Limited (crn 07098567) reported Net assets of £364,269.. (Source : Unaudited accounts as published at Companies House). Please delete the reference to the reported financial figures for Costa Limited in Footnote (2) under the Tenancy and Accommodation schedule in the Auction sale particulars.

Please note that the current rent for Units 5/6 (t/a Elev8ate Aesthetics and Training Academy) is £9,360 pa, and not as stated in the auction particulars.

Please note that Units 2 & 3 have now been let to P.J. Costello on a new 5-year lease (without break) from 8th July 2025 at a commencing rent of £13,000 pa, subject to a rent review on the 3rd anniversary. A rent-free period until 8th October 2025 has been granted by the Seller & the Seller will ‘top-up’ the rent from completion of the sale until the end of the rent-free period. The property will trade as a Café. A copy of the completed new lease has been uploaded to the legal pack. Please note that the total rent in the auction particulars should now state £37,040 pa and not as stated.

The Receivers have not received any rental payments under the TENANCIES, despite issuing demands to the parties believed to be the tenants. The Receivers do not intend to collect any ARREARS from the BUYER and the Receivers have no further information as to what rents may have been collected by the SELLER.

To the best of the Receivers’ knowledge, VAT is not applicable to the LOT as HMRC has confirmed that the LOT is not subject to an Option to Tax. If, after COMPLETION, it is found that the sale of the LOT is subject to VAT (in whole or part) then the provisions of CONDITIONS G15.6(a) and G15.6(b) are to apply in the same way, with any necessary changes made to reflect the circumstances.

Unit 502 to 504 is let to McDonalds Restaurants Limited at a current rent reserved of £121,700 per annum exclusive. McDonalds Restaurants Limited also pay a licence fee of £1805 per annum exclusive, therefore the total income from McDonalds Restaurants Limited is £123,505 per annum exclusive.

Unit 508 High Street is let to Savers Health and Beauty Limited at a current rent reserved of £80,000 per annum exclusive. Savers Health and Beauty Limited also pay a licence fee of £1250 per annum exclusive, therefore the total income from Savers Health and Beauty Limited is £81,250 per annum exclusive.
